Ceilings, walls, and drywall help request

Remodeling the basement. Basement currently has wood paneling installed on firring strips over block walls, and burlap panels attached to the ceiling joists with painted firring strips. Pics are here of the ceiling: http://m.imgur.com/a/7orHy

Plan is to drywall the walls and install a ceiling tile system (Armstrong easy install tile system).

I don't want to rip out the ceiling because it would make a tremendous mess and release God knows what into the air. Also dont want to rip out paneling unless necessary.

Can I just put the new stuff over the old? Any issues I should be aware of if I do that? The framing and joists are fine, just want to get this done quick.
